Affiliate Program Agreement

Last Updated: August 21, 2026

Recent changes

  • 2026-08-21: Platform integrations that sign their own platform agreement with Easy2257 are carved out of this program (Sections 1, 2 and 4.2): a platform is the referrer of every creator it onboards, so a referral commission there would rebate part of each creator payment to the payer. The 25% program is unchanged for link-referral affiliates, including an affiliate who refers a platform that then integrates. The operating entity is corrected to Website Design Company LLC throughout; it was never Agave Information Solutions LLC.
  • 2026-08-18: Three clauses now describe what the program has always actually done. Attribution is stated as link-only (Sections 1 and 5.1); there has never been a referral-code field at registration, so a Referred Customer must arrive through your Referral Link. The $50.00 minimum payout balance (Section 6.1) is confirmed as the amount the payout system enforces; no affiliate has ever been paid under any other figure. Payouts are described as reviewed and sent monthly for commissions that have cleared the hold, rather than as run on a fixed calendar date or requested by the affiliate (Section 6.2). Nothing in these edits changes what you earn.
  • 2026-08-16: Commissions are now stated as 25 percent of the full Qualifying Payment, with no deduction for payment processing fees, and they no longer expire after 24 months. The "Net Revenue" term has been retired. Qualification deadlines of 30 and 90 days have been removed. These changes increase what affiliates earn. Sales tax, if it is ever collected, is remitted to the taxing authority and has never been part of a Qualifying Payment; this is now stated explicitly rather than folded into the retired "Net Revenue" definition. Two clauses were corrected in the other direction to describe what the program has always actually done: a rate change applies to commissions earned after it takes effect (Section 4.5), and commissions stop accruing when an affiliate account is terminated (Section 10.4).
  • 2026-07-26: Platform referral commission aligned to a flat 25 percent (previously listed at 15 percent); API-verification commission line removed (feature not offered).

This Affiliate Program Agreement ("Agreement") is entered into between Easy2257, operated by Website Design Company LLC ("Company," "we," "us"), and the individual or entity enrolling in the Easy2257 Affiliate Program ("Affiliate," "you," "your"). By applying to or participating in the Easy2257 Affiliate Program, you agree to be bound by the terms of this Agreement.

1. Definitions

  • "Qualifying Payment" means a payment for a paid Easy2257 subscription plan (any tier) or per-scene fee that is successfully processed by Stripe and not subsequently refunded or charged back. A Qualifying Payment is the amount paid for the plan or fee itself. Any sales tax collected on top of it is remitted to the taxing authority rather than retained by Easy2257, and is not part of the Qualifying Payment.
  • "Referred Customer" means an individual or entity that (a) is not an existing Easy2257 customer at the time of referral, (b) creates a new Easy2257 account through your Referral Link, and (c) makes at least one Qualifying Payment. There is no deadline by which that first payment must be made.
  • "Referred Platform" means a business or platform that (a) is not an existing Easy2257 Partner API customer at the time of referral, (b) enters into a Partner API integration agreement with Easy2257 as a direct result of your referral, and (c) activates at least one end-user account through the Easy2257 Partner API. A platform that enters into its own platform agreement with Easy2257 for its own creators is a platform customer, not a Referred Platform: its commission terms, if any, are set by that agreement, and no commission under this Agreement is payable on its own creators' payments (Section 4.2).
  • "Referral Link" means the unique URL containing your Referral Code provided to you upon acceptance into the Affiliate Program.
  • "Referral Code" means the unique alphanumeric code assigned to your affiliate account, used to track referrals and attribute commissions.
  • "Commission Window" means the period beginning on the date of a Referred Customer's first Qualifying Payment and continuing for as long as that customer keeps making Qualifying Payments. The Commission Window does not expire.

2. Program Overview

The Easy2257 Affiliate Program allows approved partners to earn commissions by referring new customers to Easy2257's 18 U.S.C. § 2257 compliance platform. The program covers two referral types:

  • Direct Referrals: Individual creators or producers who sign up for an Easy2257 subscription plan through your Referral Link or Referral Code.
  • Platform Referrals: Businesses or platforms that integrate the Easy2257 Partner API as a result of your referral, where end-users activated through that integration generate subscription revenue for Easy2257. A single platform referral can produce commissions on all end-user subscriptions that platform activates during the Commission Window.

Both referral types are governed by this single Agreement. The commission rate is the same flat 25% of the Qualifying Payment for both types; only the attribution mechanics differ, as described in Section 4.

What this program does not cover.A platform that integrates Easy2257 for its own creators under a platform agreement is a customer of Easy2257, not an affiliate. The platform is the referrer of every creator it onboards, so a referral commission on those creators would simply rebate part of each creator's payment to the party paying the platform fee. Such integrations are governed by their platform agreement, which sets their commission terms (if any); this Agreement does not. An affiliate who refers such a platform to Easy2257 still earns under Section 4.2.

3. Enrollment and Acceptance

3.1 Application

Participation requires submission of an application and approval by Easy2257. We reserve the right to accept or reject any application at our sole discretion without obligation to provide a reason.

3.2 Eligibility

To be eligible, you must:

  • Be at least 18 years of age
  • Have a valid website, social media presence, platform relationship, or other legitimate marketing or business development channel
  • Comply with all applicable laws and regulations
  • Not be located in a jurisdiction where participation would be prohibited by law

3.3 Account Information

You agree to provide accurate and complete information during enrollment and to keep your account information current, including payout details. We are not responsible for commissions lost due to inaccurate payout information.

4. Commission Structure

4.1 Direct Referral Commissions

For each Referred Customer (direct signup), you will earn 25% of the full Qualifying Paymenton each Qualifying Payment made by that customer. The Commission Window begins on the date of the customer's first Qualifying Payment and does not expire: every subsequent renewal continues to generate a commission for as long as that customer keeps paying.

The 25% is calculated on the full amount the customer pays for the plan or fee. Payment processing fees are not deducted before the commission is calculated. Sales tax is not part of a Qualifying Payment at all, as described in Section 1.

Commissions apply to all paid plan tiers and per-scene fees. There is no restriction on which plan tier a Referred Customer subscribes to. The same 25% rate applies regardless of plan.

4.2 Platform Referral Commissions

For each Referred Platform, you earn 25% of the full Qualifying Payment(the same flat rate as a direct referral) on Qualifying Payments made by New End-Users activated through the Referred Platform's Partner API integration. As with direct referrals, these commissions do not expire.

This section pays the affiliate who referred the platform. It does not pay the platform itself: a platform operating under its own platform agreement with Easy2257 earns no commission under this Agreement on its own creators' payments (Sections 1 and 2).

"New End-User" means an end-user who did not have an existing Easy2257 account (free or paid) at the time they were provisioned through the Partner API. End-users who already had an Easy2257 account before the platform integration activated them do not qualify as New End-Users and do not generate commissions, regardless of whether their account was created independently or through a prior integration. There is no deadline by which a New End-User must make their first payment.

For clarity: if you refer a platform that activates 100 end-users via the Partner API and 80 of those users are new to Easy2257 and subscribe, you earn 25% of each of those 80 New End-Users' payments, on the first payment and on every renewal thereafter. The 20 users who already had Easy2257 accounts do not generate commissions.

Commissions are earned only on Qualifying Payments. There is no separate per-verification or API-usage commission, and none is offered under this Agreement.

4.3 Plan Changes and Upgrades

If a Referred Customer upgrades or downgrades their subscription plan, commissions continue to accrue at 25% of whatever they pay on their new plan. A plan change does not interrupt or reset the Commission Window.

4.4 Chargebacks and Refunds

If a Referred Customer's payment is refunded, charged back, or reversed, the corresponding commission will be voided or deducted from your balance. If your balance is insufficient to cover the reversal, the amount will be deducted from future commissions.

4.5 Commission Rate Modifications

We reserve the right to modify your commission rate with 30 days' written notice. A rate change is not retroactive: commissions already earned are unaffected, and every commission is recorded with the rate that produced it. A rate change does apply to commissions earned after it takes effect, including those from customers you referred before the change. Because the Commission Window does not expire, this is how a rate is ever adjusted at all.

5. Referral Tracking and Attribution

5.1 Referral Links

Upon approval, you will receive a unique Referral Link containing your Referral Code. Direct referrals must register through your Referral Link for attribution to occur. There is no place to type a Referral Code during registration; the link is what carries it.

5.2 Cookie Duration

When a prospective customer clicks your Referral Link, a tracking cookie is placed on their browser for 30 days. If the customer creates an account within that 30-day window, the referral will be attributed to you. If the cookie expires before account creation, no attribution will occur.

5.3 Attribution Rules

  • Attribution is on a first-click basis for cookie tracking. If a customer has an existing referral cookie and clicks a second affiliate link, the original attribution is preserved.
  • A customer can only be attributed to one affiliate. Attribution is permanent once established.
  • Self-referrals are prohibited. You may not use your own Referral Link to create accounts for yourself or entities you control.

5.4 Platform Referral Attribution

For Platform Referrals, attribution is established when Easy2257 records your Referral Code in connection with the Referred Platform's Partner account. End-users activated by that platform through the Partner API are attributed to you through the platform relationship, not through individual referral links. You are responsible for notifying Easy2257 of a Platform Referral at the time of introduction so that attribution can be established before the platform's Partner account is created.

6. Payouts

6.1 Minimum Payout Threshold

Commissions must reach a minimum balance of $50.00 USD before a payout is made. Balances below this threshold carry over to the next payout period.

6.2 Payout Schedule

Payouts are reviewed and sent monthly for commissions that have cleared the hold. Commissions have a 30-day holding period after the qualifying payment before they become eligible for payout, to allow for refunds and chargebacks to be resolved.

6.3 Payment Methods

Payouts are available via PayPal, bank transfer, or cryptocurrency. You are responsible for providing accurate payment details. We are not liable for payouts sent to incorrect payment details provided by you.

6.4 Taxes

You are solely responsible for reporting and paying all taxes on commissions earned. For U.S.-based affiliates earning $600 or more in a calendar year, we may require a completed W-9 form before processing payouts. We may issue a 1099 form as required by law. Non-U.S. affiliates may be required to complete a W-8BEN form.

7. Affiliate Obligations and Restrictions

7.1 Permitted Promotional Methods

You may promote Easy2257 through:

  • Business development outreach on behalf of the Affiliate Program

7.2 Prohibited Activities

  • Spam: Sending unsolicited emails, messages, or communications to promote your Referral Link
  • Misleading claims: Making false, deceptive, or misleading statements about Easy2257, its features, pricing, or legal effect
  • Trademark bidding: Bidding on "Easy2257," "easy2257.com," or variations thereof as keywords in paid search advertising

  • Incentivized clicks: Offering cash, rewards, or other incentives solely for clicking your Referral Link or creating an account
  • Self-referrals: Referring yourself, your own accounts, or accounts you control
  • Typosquatting: Registering domain names that are misspellings or variations of "easy2257.com"

  • Coupon/deal sites: Posting unauthorized discount codes or fake promotions on coupon aggregator websites
  • Competing platforms: Promoting Easy2257 alongside or through a directly competing 18 U.S.C. § 2257 compliance platform without prior written approval

7.3 FTC Compliance and Disclosure

You must comply with the FTC Endorsement Guides and any applicable advertising disclosure laws. You must clearly and conspicuously disclose your affiliate relationship with Easy2257 whenever you promote or recommend our service. Example disclosures:

  • "This post contains affiliate links. I may earn a commission if you sign up through my link."
  • "Affiliate disclosure: I earn referral commissions from Easy2257."
  • "#ad" or "#affiliate" on social media posts

7.4 Brand Guidelines

  • Do not alter, distort, or modify our logos or trademarks
  • Do not use our branding in a manner that implies endorsement, sponsorship, or partnership beyond the affiliate relationship
  • Do not make representations about the legal sufficiency of Easy2257's compliance services for any specific producer's circumstances — direct legal questions to the customer
  • We reserve the right to revoke permission to use our branding at any time

8. Confidentiality

You agree to keep confidential all non-public information related to the Affiliate Program, including commission rates, conversion data, payout amounts, and any proprietary information shared with you. You may disclose your own earnings publicly but may not disclose the specific terms of this Agreement or internal program data without our prior written consent.

9. Relationship of the Parties

You are an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between you and Easy2257. You are not authorized to make any commitments, enter into contracts, or make representations on behalf of Easy2257. You are solely responsible for your own expenses, taxes, insurance, and compliance with applicable laws.

10. Term and Termination

10.1 Term

This Agreement is effective upon your acceptance into the Affiliate Program and continues until terminated by either party.

10.2 Termination by Either Party

Either party may terminate this Agreement at any time, for any reason, with or without cause, by providing written notice (email is sufficient). You may terminate by contacting us at partners@easy2257.com.

10.3 Termination for Cause

We may terminate this Agreement immediately and without notice if you violate any provision of this Agreement, engage in fraudulent or deceptive practices, damage the reputation of Easy2257, or engage in any prohibited activity described in Section 7.2.

10.4 Effect of Termination

  • Your Referral Link will be deactivated immediately upon termination
  • You must cease all promotional activities for Easy2257
  • Approved, unpaid commissions above the minimum payout threshold will be paid out within 60 days of termination, provided termination was not for cause due to fraud or policy violations
  • Commissions stop accruing on termination. Payments your Referred Customers make after your affiliate account is deactivated do not generate new commissions, even though the Commission Window would otherwise not expire
  • If termination is for cause, all unpaid commissions may be forfeited at our discretion
  • No commissions are earned on Referred Platforms where no New End-Users had made a Qualifying Payment prior to termination

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASY2257 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE AFFILIATE PROGRAM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, OR DATA.

OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Easy2257, Website Design Company LLC, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your promotional activities, your breach of this Agreement, your violation of any applicable law, or any claim by a third party related to your marketing or promotional methods.

13. Modification of Terms

We reserve the right to modify any terms of this Agreement, including commission rates, payout thresholds, cookie duration, and program rules. Material changes will be communicated via email or through your affiliate dashboard with at least 30 days' notice. As noted in Section 4.5, a rate change never affects commissions you have already earned, but it does apply to commissions earned after it takes effect. Your continued participation after such notice constitutes acceptance of the modified terms.

14. Dispute Resolution

Any disputes arising under this Agreement shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be resolved through binding arbitration in Maricopa County, Arizona, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys' fees.

15. Governing Law

This Agreement shall be governed by the laws of the State of Arizona, United States, without regard to its conflicts of law principles.

16. General Provisions

This Agreement, together with the Easy2257 Terms of Service and Privacy Policy, constitutes the entire agreement between the parties regarding the Affiliate Program. If any provision is found invalid or unenforceable, the remaining provisions continue in full force. Failure to enforce any provision does not constitute a waiver. You may not assign or transfer this Agreement without our prior written consent.
